EULA

This end user license agreement (“agreement”) is between Playfair Audio – Dipl.-Ing. Christian Luther (“Playfair Audio”, “we”, “us”, see our imprint) and you, the end user (“you”). It governs your use of Playfair Audio software, including its updates, documentation and any associated media and content (“the Software”).

Please read this agreement before installing or using the Software. By installing or using the Software, you agree to these terms. If you do not agree, do not install or use the Software, and delete all copies of it in your possession.

Purchase

Licenses for the Software, including those offered free of charge, are provided through our authorized reseller, which is named on your order confirmation and receipt. The purchase itself, including payment, refunds and your right of withdrawal, is governed by the reseller’s terms of sale. This agreement governs your use of the Software and is between you and us.

License

We grant you a personal, non-exclusive license to use the Software in accordance with this agreement. You may activate the Software on as many devices at the same time as your license includes, as shown in your account. To use it on another device, deactivate it on a device you no longer use.

Unless stated otherwise, a purchased license is perpetual. A trial license lets you evaluate the Software for a limited period. A subscription license is valid while the subscription is active. Licenses designated “NFR” (not for resale) may only be used for demonstration, testing and evaluation.

Everything you create with the Software is yours. You may use it for any purpose, including commercial work.

License transfer

You may transfer a perpetual license you paid for to another person, provided you transfer it as a whole and stop using the Software yourself. To transfer a license, contact us through our support page and we will move it to the new owner’s account free of charge. Trial, subscription, NFR and free licenses cannot be transferred.

License activation

The Software must be activated before use. You activate it with your Playfair Audio account, online or, for devices without an internet connection, offline. When activated online, the Software checks the status of its license from time to time. You can view and deactivate your devices in your account.

Activation and license checks transmit limited technical information about your device and the Software. Our privacy policy has the details.

Restrictions

You may not:

  • Copy the Software, except to install it on your own devices and to make backup copies
  • Distribute, sell, rent, lend or sublicense the Software, or share your license or account with others
  • Modify, adapt or translate the Software, or combine it with other software
  • Decompile, disassemble or reverse engineer the Software, except where the law permits it regardless of this agreement
  • Circumvent, disable or tamper with the license activation or any other protection of the Software
  • Use the Software in breach of any applicable law

The Software may include third-party components that are provided under their own license terms. Where that is the case, those terms are included with the Software and apply to those components.

Intellectual property

The Software, all copies and updates of it, and all copyright and other intellectual property rights in it remain the property of Playfair Audio and its licensors. You receive a license to use the Software, not ownership of it.

Termination

This agreement remains in effect until it is terminated. You may terminate it at any time by deleting all copies of the Software in your possession. We may terminate your license if you seriously breach this agreement. If a purchase is refunded or charged back, the license it provided ends.

When your license ends, you must stop using the Software and delete all copies of it, and we may deactivate the license.

Warranty

Your statutory rights in case of defects remain unaffected. For a license you paid for, these rights are against the reseller you bought it from, as set out in its terms of sale.

Software we provide free of charge, including trial versions, comes without any warranty, unless we fraudulently conceal a defect.

Liability

We are liable without limitation for damage caused intentionally or through gross negligence, for injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz) and under any guarantee we have given.

In all other cases of slight negligence, we are liable only for breach of an essential contractual obligation, and only for the foreseeable damage typical for this kind of agreement. Essential contractual obligations are those whose fulfilment makes the proper performance of this agreement possible in the first place and on whose fulfilment you may regularly rely. For Software we provide free of charge, we are not liable in these other cases of slight negligence.

Otherwise, our liability is excluded. These limitations also apply to the personal liability of our employees, representatives and agents.

You are responsible for backing up your data regularly. For loss of data, we are liable only for the effort it would have taken to restore it from such backups.

Governing law and disputes

This agreement is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country in which you have your habitual residence.

We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.

Final provisions

This agreement, together with any license terms included for third-party components, is the entire agreement between you and us about the use of the Software.

If any provision of this agreement is or becomes invalid, the rest of the agreement remains valid. The invalid provision is replaced by the applicable statutory provisions.
